Terms of Service

Effective Date: August 16, 2026

THESE TERMS OF SERVICE (the "Agreement") GOVERN CUSTOMER'S RECEIPT, ACCESS TO, AND USE OF THE SERVICE (AS DEFINED BELOW) PROVIDED BY THESIS ("Thesis," "we," "us," or "our"), THE PRODUCT BUILT BY ATLAS. IN ACCEPTING THIS AGREEMENT BY PURCHASING ACCESS TO THE SERVICE, SIGNING UP FOR A FREE ACCESS PLAN, OR CLICKING A BOX INDICATING ACCEPTANCE, CUSTOMER AGREES TO BE BOUND BY ITS TERMS.


1. The Service

1.1 Service Description

Thesis is the owner and provider of a cloud-based software for product teams (the "Service"). Anything Customer (including Users) posts, uploads, shares, stores, or otherwise provides through the Service is considered a "User Submission." Customer is solely responsible for all User Submissions it contributes to the Service.

1.2 Customer's Subscription

Subject to the terms of this Agreement, Customer may purchase a subscription to, and has the right to access and use, the Service as specified in one or more ordering screens agreed to by the parties. Use of and access to the Service is permitted only by individuals authorized by Customer and for Customer's own internal business purposes.

1.3 Thesis's Ownership

Thesis retains all right, title and interest (including, without limitation, all patent, copyright, trademarks, trade secret and other intellectual property rights) in and to the Service, and any updates, enhancements, upgrades, modifications, patches, workarounds, and fixes thereto.


2. Restrictions

2.1 Customer's Responsibilities

Customer is responsible for all activity on its Users' accounts unless such activity is caused by a third party bad actor able to access Customer's account by exploiting vulnerabilities in the Service itself.

2.2 Use Restrictions

Customer agrees that it will not, and will not allow Users or third parties to, directly or indirectly:

  • Modify, translate, copy or create derivative works based on the Service
  • Reverse assemble, reverse compile, reverse engineer, decompile or otherwise attempt to discover the source code of the Service
  • License, sublicense, sell, resell, rent, lease, transfer, assign, distribute, or otherwise commercially exploit the Service
  • Use the Service in any way that violates any applicable law or regulation
  • Attempt to gain unauthorized access to, interfere with, damage or disrupt any parts of the Service

3. Payment Obligations

3.1 Fees

Customer will pay for access to and use of the Service as set forth on the applicable Order or checkout screen ("Fees"). Fees are billed in advance on a monthly or yearly basis, as selected at checkout, through our payment processor (currently Paddle). Thesis may modify its Fees or introduce new fees upon reasonable notice; changes apply to subsequent billing periods unless otherwise stated.

3.2 Plan Changes (Upgrades and Downgrades)

Customer may change plans from within the Service, subject to plan availability and any usage limits that apply after a downgrade.

  • Upgrades. When Customer upgrades to a higher-priced plan mid-cycle, Thesis (via its payment processor) charges a prorated amount for the remaining time in the current billing period—the difference between what was already paid for the current plan and the price of the new plan for that remaining period—not a full second subscription charge.
  • Downgrades.When Customer downgrades to a lower-priced plan (including Free), access and feature limits of the new plan take effect as shown in the product at the time of confirmation. Any unused value on a paid plan may be applied as account credit or reflected on the next invoice according to our payment processor's proration rules; downgrades do not automatically create a cash refund except where Section 3.3 applies.
  • Seat and quantity changes. Adding seats or increasing billable quantity mid-cycle is billed on a prorated basis for the remainder of the period. Reducing seats takes effect for future billing according to processor rules and does not itself entitle Customer to a cash refund outside Section 3.3.

3.3 Refunds

Except as expressly set out in this Section 3.3, Fees are non-refundable. Where a refund is granted, Thesis will process it through the original payment method via its payment processor, typically within a commercially reasonable time (card statement timing varies by bank).

  • Initial 30-day money-back guarantee.If Customer's workspace first starts a paid subscription (including the first paid period after a free trial converts to paid), Customer may cancel and request a full refund of that initial paid charge within thirty (30) days of the charge date. Upon approval, Thesis will refund the amount paid for that initial period in full, and paid-plan access will end.
  • Renewal periods (second billing period and later).For each subsequent billing period after the initial paid period (for example, the second month of monthly billing, or the next yearly renewal), Customer is eligible to request a full refund of that period's charge within seven (7) days of the charge date for that period. After those seven (7) days, that period's charge is non-refundable.
  • How to request. Refund requests must be sent to support@thesisapp.co from an authorized workspace admin and should include the workspace name and approximate charge date. Thesis may decline refunds that fall outside these windows, duplicate or fraudulent requests, or charges already refunded or credited.
  • Plan changes vs. refunds. Switching plans (upgrade or downgrade) is governed by Section 3.2. A plan change does not extend or restart the refund windows in this Section 3.3 unless Thesis expressly says so when processing a refund.

4. AI Features

The Service may include AI-assisted features (including Thesis Agent). AI outputs can be inaccurate, incomplete, or inappropriate for your use case. Customer is responsible for reviewing AI outputs before relying on them, and for ensuring that User Submissions and prompts do not violate applicable law or third-party rights. Thesis does not guarantee that AI features will produce any particular result.


5. Third-Party Integrations (including Google Drive)

The Service may allow Customer to connect optional third-party services, including Google Drive. Connecting an integration is optional. By enabling Google Drive, Customer authorizes Thesis to access Google account information and Drive data only as needed to provide the integration features Customer enables (for example, browsing and attaching existing Drive files to issues and project resources on a read-only basis).

Customer is responsible for complying with Google's terms and policies and for only connecting accounts Customer is authorized to use. Thesis does not control Google Drive and is not responsible for Google's availability, content, or practices. Customer may disconnect Google Drive at any time in the Service or by revoking access in Google Account settings. Use of Personal Data related to integrations is described in our Privacy Policy.


6. Warranties and Disclaimers

EXCEPT AS EXPRESSLY PROVIDED FOR HEREIN, THE SERVICES AND ALL RELATED COMPONENTS AND INFORMATION ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, AND THESIS EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.


7. Limitation of Liability

NEITHER PARTY WILL BE LIABLE WITH RESPECT TO ANY CAUSE RELATED TO OR ARISING OUT OF THIS AGREEMENT FOR INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, ANY DAMAGES BASED ON USE OR ACCESS, INTERRUPTION, DELAY OR INABILITY TO USE THE SERVICE, LOST REVENUES OR PROFITS, DELAYS, INTERRUPTION OR LOSS OF SERVICES, BUSINESS OR GOODWILL, LOSS OR CORRUPTION OF DATA.


8. Termination

Customer may stop using the Service at any time and may cancel a paid subscription through the billing settings or by contacting support@thesisapp.co. Thesis may suspend or terminate access if Customer materially breaches this Agreement, fails to pay Fees when due, or uses the Service in a way that creates security, legal, or operational risk. Upon termination or cancellation, paid features may end at the close of the then-current billing period unless a refund is granted under Section 3.3. Provisions that by their nature should survive (including ownership, payment obligations already incurred, disclaimers, and limitations of liability) will survive termination.


9. General Terms

9.1 Changes

Customer acknowledges that the Service is an on-line, subscription-based product, and that to provide improved customer experience Thesis may make changes to the Service provided. Thesis may also unilaterally modify the terms of this Agreement by notifying you at least thirty (30) days prior to such changes taking effect.

9.2 Email Communications

Notices under this Agreement will be provided via email. Notices to Thesis must be sent to support@thesisapp.co, and all notices to Customer will be sent to the email(s) provided through the Service.
